New EDGAR release brings key updates for filers

The US Securities and Exchange Commission (SEC) has announced amendments to the EDGAR Filer Manual, set to take effect on 30 January following the deployment of EDGAR Release 24.4 on 16 December last year. These updates introduce new filing requirements for short-sale reporting, enhanced support for annuities, and a transition to structured data formats for beneficial ownership disclosures.

Among the changes is the introduction of Form SHO, requiring certain investment managers to report short position and trading activity data in machine-readable format. Additionally, updates to Form N-4 will facilitate filings for registered index-linked annuities (RILAs) and market value adjustment annuities, including support for the latest Variable Insurance Products (VIP) XBRL taxonomy. EDGAR will also enforce XML-based filings for Schedules 13D and 13G, replacing HTML and ASCII formats.

The SEC has also announced that this week’s interim release (25.0.1) of EDGAR will support the 2024Q3 version of the Fund (FND) XBRL taxonomy. This update ensures compatibility with the 2024Q3 Open-End Fund (OEF) XBRL taxonomy, allowing filers to use both taxonomies in a single submission. The FND taxonomy provides key XBRL elements for tagging disclosures related to enhanced prospectus disclosure requirements, particularly for fund name terminology, in line with revised SEC regulations.

Filers should review the updated EDGAR Filer Manual, Volume II to ensure compliance with the latest requirements.
